Offices of\nSection Treasurer and Section Secretary will normally be filled\nby a member who has served at least one full year on the Section\nExecutive Committee.\n\n\n\nSec. 3\tThe term of office of the elected officers will be one\n(1) year and will begin January 1 and end December 31;  but in\nany case, will continue until their successors are duly elected\nand take office.  Normally, new officers will take office during\na Section Executive Committee Meeting held in January.  The\noutgoing and incoming Executive Committee members will attend\nthe meeting.\n\n\n\nSec. 4\tThe Vice Chairman shall succeed the Chairman should a\nvacancy occur.  Any other vacancy occurring during the year\nshall be filled by a majority vote of the Section Executive\nCommittee.\n\n\n\nSec. 5\tDuties of the elected officers will be as described in\nthe IEEE Bylaws and in the Section Manual.\n\n\n\n\n\nARTICLE III\n\n\n\nStanding Committees\n\n\n\n\n\nSec. 1\tStanding Committees of the Section will be as follows:\n\n\t\n\nExecutive\n\nProgram\n\nMembership and Transfers\n\nAwards\n\nStudent Activities\n\nPublications &amp; Publicity\n\nJets &amp; Career Guidance\n\nArrangement\n\nSociety\/Group chapter Organization\n\n\n\n\t\tOther committees may be authorized by the Section Executive\nCommittee.\n\n\n\nSec. 2\tChairmen of the Standing Committees (except the Executive\nCommittee) will be appointed by the Section Chairman with the\napproval of the Section Executive Committee, and their terms\nwill expire on December 31 (except for Student Activities\nCommittee).\n\n\n\nSec. 3\tStudent Activities Committee Chairman will be appointed\nfor a term July 1 through June 30 to coincide with school year.\n\n\n\nSec. 4\tEach Committee Chairman (except the Nominating Committee)\nwill appoint his committee members with the approval of the\nSection Executive Committee.\n\n\n\nSec. 5\tDuties of Standing Committees will be generally as\ndescribed in the IEEE Section Manual.  Special duties may be\nassigned by the Section Chairman.\n\n\n\nARTICLE IV\n\n\n\nManagement\n\n\n\nSec. 1\tManagement of the Section will be by the Section\nExecutive Committee which will consist of the elected officers,\nthe Junior Past Section Chairman, the Chairman of Section\nStanding committees, and Student Branch Chairmen within the\nterritory of the section.  Any group\/ society chapters formed\nwithin the Section shall have representation on the Section\nExecutive Committee.\n\n\n\nSec. 2\tA majority of the Section Executive Committee will\nconstitute a quorum which will be necessary to conduct business.\n\n\n\nSec. 3\tMeetings of the Section Executive Committee will\nordinarily be held at least quarterly and will be called by the\nSection Chairman or by request of any three members of the\nSection Executive Committee.\n\n\n\nSec. 4\tThe fiscal year of the Section will January 1 through\nDecember 31.\n\n\n\nSec. 5\tThe Section Chairman will be responsible to assure that\nthe Section operates according to Section Bylaws, IEEE\nConstitution and Bylaws.\n\n\n\n\n\nARTICLE V\n\n\n\nNomination and Election of Officers\n\n\n\nSec. 1\tA Nominating Committee consisting of four (4) or more\nmembers, not then elected officers of the Section, will be\nappointed by the Section Chairman with the approval of the\nSection Executive Committee.  The Nominating Committee Chairman\nwill normally be the Section Junior Past Chairman.\n\n\n\nSec. 2\tThe Section Nominating Committee will contact the\nprospective candidates for Section offices and verify their\nwillingness and ability to accept the office, should they be\nelected, prior to publishing nominees' names.\n\n\n\nSec. 3\tThe Nominating Committee's report should be in the hands\nof the Secretary by the 1st of October so that it may be\nincluded in the November meeting announcements.  Nominations may\nbe submitted to the Secretary from the membership by letter\nbearing the nominee's name and office and signed by ten\nqualified voters.  This letter must be received by the Secretary\nnot later than two weeks prior to the December meeting.  The\nelection of officers shall be at the regular December meeting. \nIf there is no contest for any office, the election shall be by\nvoice vote.\n\n\n\nSec. 4\tIf only one nomination is made for each office, elections\nwill be made by voice or standing vote at the December Section\nmeeting.  If additional nominations are made, election will be\nmade by written ballot at the December Section meeting and the\nvote counted by a tellers' committee appointed by the Section\nChairman.  A majority vote will determine the winner for each\noffice.\n\n\n\nSec. 5\tBallot by mail will be resorted to only if there is no\nquorum present at the December meeting, or if there is a tie\nvote of those members present at the December meeting. \n(Reference Article VI)\n\n\n\nSec. 6\tNo officers shall be eligible for re-election to a\nsucceeding term in his office, except when serving out an\nunexpired term.\n\n\n\nSec. 7\tThe timetable for nomination and election of officer will\nbe as follows:  Appointment of nominating committee - no later\nthan the 1st of September.  Announcement of nominations -\nNovember Section meeting announcement.  Nominations by petition\nwill close two weeks prior to December Section meeting.  Hold\nelection - December Section meeting.\n\n\n\nARTICLE VI\n\n\n\nMeetings\n\n\n\nSec. 1\tThe regular monthly meetings will normally be held the\nthird Thursday of each month except the months of July and\nAugust.  Notices of the meetings will be mailed one week prior\nto the date of the meeting.\n\n\n\nSec. 2\tSpecial meetings and Executive Committee meeting may be\ncalled at any time by the Executive Committee upon written\nnotice to the membership.  Regular meetings may be changed or\ncanceled by the Executive Committee for just cause upon written\nnotice to the membership.\n\n\n\nSec. 3\tA majority of the members of the Executive Committee\nshall constitute a quorum to conduct its business.\n\n\n\nSec. 4\tTen voting members shall be present to constitute a\nquorum at a section meeting called for the transaction of\nbusiness.  A majority vote of the members present and voting is\nsufficient to carry a resolution.\n\n\n\nARTICLE VII\n\n\n\nFinances\n\n\n\nSec. 1\tThe Section shall have the right to obligate funds for\nall purposes necessary to promote objectives except that no\nofficer or representative thereof shall have any authority to\ncontract debts for, pledge the credit of, or in any way bind the\nIEEE for those activities specifically prohibited in the IEEE\nBylaws or published interpretation of policy.\n\n\n\nSec. 2\tAll expenditures of Section funds must be approved by the\nSection Executive Committee.\n\n\n\nSec. 3\tThe Section Treasurer or Chairman will be authorized to\ndraw funds as approved by the Section Executive Committee.\n\n\n\nSec. 4\tThe Treasurer books shall be reviewed annually by an\naudit committee and approved before they are transferred to his\nsuccessor.\n\n\n\nARTICLE VIII\n\n\n\nMembership\n\n\n\nSec. 1\tAll members of the IEEE residing within the territorial\nlimits of the Section are members.\n\n\n\nSec. 2\tAll Fellows, Senior Members, and Members of the IEEE\nshall be entitled to attend the meetings, vote, and hold office.\n\n\n\nSec. 3\tAssociates of the institute who are members of the\nSection shall be entitled to attend meetings and to vote, but\nshall not have the right to hold office.\n\n\n\nSec. 4\tStudent members of the IEEE are privileged to attend\nmeetings, but shall not have the right to vote of hold office.\n\n\n\nARTICLE IX\n\n\n\nAmendments\n\n\n\nSec. 1\tProposals for amendments may originate in the Section\nExecutive Committee or by a petition signed by fifteen (15) or\nmore voting members,\n\n\n\nSec. 2\tProposed amendments and sufficient reasons therefor,\nshall be delivered or mailed to the Section Executive Committee\nmembers at least twenty (20)days before the stipulated meeting\nof the Section Executive Committee  at which the vote shall be\ntaken.  Two-thirds of all votes cast at that meeting shall be\nrequired to approve any new Bylaws, amendments or revocation.\n\n\n\nSec. 3\tSuch Bylaws must be consistent with the IEEE\nConstitution, Bylaws, and published interpretation of policy.\n\n\n\nSec. 4\tA copy of amended Bylaws shall be submitted for approval\nby the Regional Director.\n\n\n\nARTICLE X\n\n\n\nThe Affiliation of S. C. Sections\n\n\n\nSec. 1\tThe Section shall maintain membership in the South\nCarolina Affiliation of Sections of the IEEE, Subject to Article\nX, Sec. 5.\n\n\n\nSec. 2\tThe Section shall subscribe for each member of the\nSection to the IEEE Corona published by the Affiliation, subject\nto Article X, Section 5.\n\n\n\nSec. 3\tThe Executive Committee shall determine the extent and\nkind of participation of the Section in the affairs of the\nAffiliation, subject to Article X, Sec. 5.\n\n\n\nSec. 4\tThe Section Chairman shall represent the Section in the\naffairs of the Affiliation.\n\n\n\nSec. 5\tThe financial participation of the Section in the affairs\nof the Affiliation shall be limited to $1.00 per year per\nmember, plus a share of the IEEE Corona publication expenses.\n\n\n\nARTICLE XI\n\n\n\nGROUP CHAPTER\n\n\n\nSec. 1\tA Group Chapter, consisting of the members of a group who\nare members of the Section, may be established to function in a\nmanner similar to that of a Committee of the Section.  A\npetition must be submitted to the Section Executive Committee\nfor written approval, and then forwarded with this approval to\nthe IEEE General Manager.\n\n\n\nSec. 2\tThe petition to establish a Chapter must contain the\nfollowing:\n\n\n\na) Name of Section.\n\nb) Name of the Group.\n\nC) Name of the Organizer (who becomes interim Chairman pending\nelection of a regular Chairman at a later organization meeting).\n\nd) Signatures of at least twelve (12) IEEE members, other than\nstudents, who are members of the Group and Section.\n\ne) Names of other Section members who indicate they will join\nthe Chapter, if established.\n\n\n\n\n\nSec. 3\tThe Group Chapter shall be considered established upon\nnotification of the Section Chairman by the General Manager.\n\n\n\nSec. 4\tThe Chairman of the Group Chapter will have the\nresponsibility to see that no less than 10 members, other than\nstudents, maintain membership and that no less than 2 technical\nmeetings are held per year, or maintain a level of activity\nacceptable to the Regional Director and the Group Chairman.\n\n\n\nSec. 5\tChapter meetings may be scheduled only if it has received\nprior approval of the Executive Committee  of the Section within\nwhose boundaries the meeting is held.  All Section member shall\nbe advised of all meetings held in the Section, including those\norganized by chapters.\n\n\n\nSec. 6\tThe responsibility of Chapter management shall rest with\nthe Section, which shall have control of all financial and other\nassets of the Chapter in carrying out its activities\n\n\n\nSec. 7\tWith concurrence of the Section Executive Committee,\nRegional Director, and Group Chairman, a Group Chapter may be\ndissolved.
